Representative Matters

  • Represented private equity firm in the second COVID-19 “busted deal” case to go to trial, resulting in specific performance order compelling the buyer to close on its $550 million acquisition of seller’s portfolio company. Snow Phipps Group, LLC, et al. v. KCAKE Acquisition, Inc., et al., 2021 WL 1714202 (Del. Ch. Apr. 30, 2021).
  • Represented asset manager challenging integrated communications company’s acquisition by private equity firm and in support of asset manager’s competing acquisition bid. Approximately one month after commencing litigation, target company abandoned its transaction with private equity firm and entered into a transaction with client. Chatham Asset Management, LLC v. John C. Pope, et al., C.A. No. 2021-0976-KSJM (Del. Ch.).
  • Represented public company founder and chairperson in expedited litigation arising out of a proxy contest between two board factions. Following trial, the Court of Chancery awarded temporary and permanent injunctive relief. In re Aerojet Rocketdyne Holdings, Inc.,A. 2022-0127-LWW (Del. Ch.).
  • Represented investors in expedited advance notice bylaw litigation following biotechnology company board’s rejection of investors’ notice of intent to nominate a competing slate of director candidates. On appeal, the Delaware Supreme Court held that all six of the challenged bylaws were unenforceable and inequitably adopted. Kellner v. AIM Ted D. Kellner v. AIM ImmunoTech Inc., et al., No. 3, 2024 (Del. Supr.).
  • Represented private equity firm through trial against a former employee who claimed to be partner based on an alleged oral partnership agreement. Handler v. Centerview Partners Holdings L.P., 2024 WL 1775269 (Del. Ch. Apr. 24, 2024) (post-trial-decision rejecting plaintiff’s partnership’s claims).
  • Represented stockholder in books and records dispute, obtaining favorable discovery rulings and an award of attorneys’ fees for defendant’s bad faith litigation conduct. Seidman v. Blue Foundry Bancorp, C.A. No. 2022-1155-MTZ (Del. Ch.).
